Welcome to WebXpert. These Terms of Service ("Terms") govern your use of our website and services. By accessing our website or engaging our services, you ("Client") agree to be bound by these Terms and our Privacy Policy.
Please read these Terms carefully before accessing or using our website. If you do not agree to all the terms and conditions of this agreement, then you may not access the website or use any services.
1. Services
WebXpert provides digital services including but not limited to Web Design, Web Development, SEO Optimization, and Website Maintenance.
The specific deliverables and scope of work for your project will be outlined in a separate Proposal or Statement of Work (SOW). Any changes to the scope of work after acceptance may incur additional charges.
2. Estimates and Payment Terms
Unless otherwise stated in writing:
- Estimates: Quotes and estimates are valid for 30 days from the date of issue.
- Deposits: A non-refundable deposit of 50% is required before any work commences.
- Balance: The remaining 50% balance is due upon project completion, prior to the website going live or source files being released.
- Currency & Tax: All prices are in Australian Dollars (AUD) and are exclusive of GST unless otherwise noted.
3. Client Obligations
To ensure the timely completion of your project, you agree to:
- Provide all necessary text, images, and other content within the agreed timeframes.
- Provide timely feedback and approvals for design drafts and development stages.
- Grant necessary access to hosting accounts, domain registrars, and other third-party services required for the project.
Delays caused by the Client in providing assets or feedback may result in a shift in the project timeline and delivery dates.
4. Intellectual Property
Upon full payment of all fees, the Client is granted a non-exclusive, perpetual license to use the final website design and code for their business purposes.
WebXpert retains ownership of:
- Any pre-existing tools, libraries, or frameworks used to build the site.
- Preliminary drafts and concepts that were not selected by the Client.
You warrant that any materials you provide to us (images, text, logos) do not infringe on the intellectual property rights of any third party.
5. Warranties and Liability
Our services come with guarantees that cannot be excluded under the Australian Consumer Law (ACL). For major failures with the service, you are entitled:
- to cancel your service contract with us; and
- to a refund for the unused portion, or to compensation for its reduced value.
To the extent permitted by law, WebXpert excludes all other warranties and limits liability for any indirect, special, or consequential loss or damage arising from your use of our services or website. We do not guarantee that our services will be uninterrupted or error-free.
6. Third-Party Services
We may recommend or integrate third-party services (e.g., hosting providers, payment gateways, plugins). WebXpert is not responsible for the performance, security, or policies of these third-party providers. Any fees charged by third parties are the responsibility of the Client.
7. Termination
Either party may terminate the agreement with written notice.
- Termination by Client: You will remain liable for payment for all work completed up to the date of termination. Deposits are non-refundable.
- Termination by WebXpert: If we terminate the agreement without cause, we will refund any unspent portion of the deposit.
8. Governing Law
These Terms constitute the entire agreement between the parties. These Terms are governed by and construed in accordance with the laws of New South Wales, Australia. You irrevocably submit to the exclusive jurisdiction of the courts in that State.
